These Yzzy Creator Accelerator Terms and Conditions (the “Program Terms”) govern your participation (any participating individual or entity is referred to as “you,” “your,” or “Creator”) in the Yzzy Creator Accelerator program (the “Program”) on the Yzzy platform (the “Platform”).
These Program Terms are incorporated into and expressly subject to the Yzzy Terms of Services and the Yzzy Privacy Policy, as well as all other applicable Yzzy policies and guidelines, each of which may be updated from time to time (collectively, the “Policies”).
In the event of any actual conflict between these Program Terms and the Policies, these Program Terms will control during the term of the Program solely with respect to your participation. Upon expiration or termination of the Program or your participation in the Program, the Policies will remain in effect and continue to apply to your use of the Platform.
All capitalized terms used but not defined in these Program Terms have the respective meanings set forth in the Policies.
To apply, you must submit a complete application for the Program via the Platform. Yzzy will evaluate your application and eligibility and will notify you of acceptance or rejection, which shall be determined by Yzzy in its sole discretion. Yzzy may reject an application if it determines (in its sole discretion) that the Creator does not meet the eligibility requirements of the Program or is otherwise not in compliance with the Policies. If your application is rejected, you may re-apply, but you must wait 30 days after receiving the rejection notice before submitting a new application.
Yzzy is not responsible for any incorrect or inaccurate information supplied by any Creator. You represent and warrant that all application information you submit is truthful and accurate, and that you will maintain the accuracy of such information at all times.
By applying for and participating in the Program, you agree to comply with these Program Terms and the Policies, including the Yzzy Terms of Services and the Yzzy Privacy Policy.
At all times during participation in the Program, only those Creators meeting all of the following requirements are eligible to participate in the Program:
a. If Creator is an individual, Creator is a legal resident of the fifty (50) United States, D.C., or the territories and possessions of the United States, and is 18 years of age or older or the age of majority in their place of residence; or if Creator is an entity, Creator is incorporated or headquartered within the fifty (50) United States, D.C., or the territories and possessions of the United States;
b. The Creator must have at least 3,000 authentic followers on at least one approved platform, including Instagram, TikTok, YouTube, Ko-Fi, Patreon, or Pinterest.
c. The Creator’s profile must be public and must have an engaged audience, meaning it cannot include bots, fake followers, or mass-following techniques.
d. The Creator must have a valid linked digital payment account, which may be required for payments through the Program. This Payment Account must be registered in the Creator’s name (if an individual) or owned by the Creator (if an entity), be in good standing with the payment provider, and comply with all necessary onboarding requirements, including tax documentation, if applicable.
Yzzy reserves the right to add, remove, or modify eligibility requirements at its sole discretion.
The Term of this Agreement shall begin on the Effective Date and last for one (1) year, unless terminated as set forth below. This Agreement will automatically renew for successive one (1) year periods, unless terminated as set forth below.
Yzzy may terminate or suspend a Creator’s participation in the Program immediately, at its sole discretion, under the following circumstances:
a. If the Creator breaches these Yzzy Creator Accelerator Terms or the Yzzy Terms of Services, including, without limitation, failure to meet or maintain the eligibility requirements.
b. If the Creator becomes involved in any situation or occurrence that could negatively impact the Creator’s or Yzzy’s reputation, including but not limited to actions that may harm the Platform, the Program, or Yzzy’s employees.
c. For any reason, without cause.
Termination will become effective upon Yzzy’s delivery of a termination notice through the Platform or via written communication.
If the Creator wishes to cancel their participation in the Program, they must provide written notice to Yzzy.
Upon termination, Yzzy shall have no further payment obligations hereunder.
Yzzy also reserves the right to remove the Creator from the Program at any time upon written notice if the campaign is canceled. In such a case, the Creator shall be compensated only for the services duly performed and completed in accordance with these Terms prior to the removal date, provided that the Creator has complied with all requirements, including content retention obligations.
Subject to the Creator’s compliance with the Policies at all times during the Term and confirmation by Yzzy that the Creator has met all eligibility requirements, Yzzy will compensate the Creator based on a progressive payment structure, which differs depending on the Creator’s follower count:
For Creators with 3,000 to 10,000 Followers on the approved platform:
- First 3 Offers: $300 per package
- Next 5 Offers: $400 per package
- Next 7 Offers: $500 per package
- Next 10 Offers: $600 per package
- Next 10 Offers: $800 per package
- Next 15 Offers: $900 per package
For Creators with More Than 10,000 Followers on the approved platform:
- First 3 Offers: $500 per package
- Next 5 Offers: $750 per package
- Next 7 Offers: $750 per package
- Next 10 Offers: $1,000 per package
- Next 10 Offers: $1,400 per package
- Next 15 Offers: $2,100 per package
Each package is considered separately, and payments are calculated per completed package only. Offers from different packages are not aggregated to reach the next payment tier.
Payment is processed after the content is uploaded and validated (subject to a 3-day review period).
The rates specified in this Section constitute the full and final compensation for the Creator’s participation in the Program. No additional fees, costs, or reimbursements shall be provided.
Creator agrees and acknowledges that Creator has sole responsibility and liability for any and all taxes, contributions, commissions, or other sums arising out of the payments from Yzzy. Creator further agrees and acknowledges that Yzzy reserves the right and is authorized to withhold from such payments any amounts it is required to withhold and pay over to any governmental authority under applicable law, and any such withheld amounts shall be treated as paid to Creator by Yzzy .
After successful content validation, payment will be made within three (3) months after verification that the Creator has completed at least 15 hours of activity in the Yzzy app over a three-month period, with a minimum of 5 hours per month and provided that the Creator has not deleted the uploaded content before the end of the campaign. Payments will be made on the basis of the Creator’s submitted invoice.
Creator agrees to accept funds transferred to Creator’s Payment Account within thirty (30) days of any such transfer, or funds may be forfeited and unavailable for withdrawal. Payment may be issued to Creator on behalf of Yzzy by subsidiary or affiliate entities or other authorized payor(s), which may act as the payor under these Creator Fund Terms. Yzzy may modify or substitute the payor at any time, without notice to you.
Creator is responsible for linking and maintaining an accurate, up-to-date Payment Account that complies with these Terms and the terms of their Payment Account provider, and Yzzy will not be responsible for any delay, failure, or inability to transfer payment to Creator’s Payment Account due to any reason out of Yzzy ’s control, including Creator’s failure to comply with these Terms or the terms of use applicable to any Payment Account. Yzzy shall not be responsible for any fees or charges relating to the use or operation of Creator’s Payment Account.
If Yzzy determines, at any time after payment has been made, that the Creator’s content did not meet the Requirements set forth in these Terms or that the Creator failed to fulfill their obligations under the Program, Yzzy reserves the right to adjust the amounts due or offset against future payments. If no future payments are due, the Creator must return any overpaid amounts within thirty (30) days of receiving written notification from Yzzy.
Any adjustments or refund requests are without prejudice to any other rights or remedies Yzzy may have in connection with the Creator’s failure to comply with these Terms.
Content must:
a. be accurate when stating facts and genuine when expressing opinions and be kept up to date, ensuring that Offers and other materials reflect current availability, pricing, and conditions;
b. not be defamatory, offensive, bullying, hateful, deceptive, threatening, abusive or in contempt of court;
c. not promote or show sexually explicit material, violence, discrimination, drugs, aggressive behavior or any illegal activity;
d. not infringe any intellectual property rights (including copyright, database rights or trademarks) of any other person;
e. not breach any legal duty owed to a third party, such as a contractual duty or a duty to maintain confidentiality;
f. not contain any advertising or promote any services or web links to other sites; and
g. comply with all applicable law.
Each Offer must be valued at a minimum of $50, with three (3) lifestyle content pieces (images or videos) created and linked to it.
One Offer is considered complete when it is published and visible to users on the platform and all of the following conditions are met:
- The title must be engaging and informative, containing at least 5 words.
- The description must contain a minimum of 100 characters and provide a clear explanation of the Offer
- Must be filled out with accurate pricing or conditions for participation and be valued at a minimum of $50
- The Offer must be placed in an appropriate category that matches its content.
- Must include at least 2 high-quality images or 1 video (original content, no watermarks of any other social media platforms, no stock images) and have 3 lifestyle content pieces (images or videos) linked to it.
- The Offer must provide actual, meaningful information and not duplicate existing Offers.
Each Lifestyle post must meet all of the following conditions:
- The post must be linked to an Offer and not be a standalone post.
- Must include at least one original, high-quality photo or video that relates to the Offer.
- The caption must be at least 50 characters long and describe the experience, process, or moment related to the Offer.
- The content must be authentic and provide meaningful value to users, avoiding duplication of existing posts.
- Offer must fall under one of the approved content segments: Fashion & Beauty, Fitness & Wellness, Traveling, Art & Design, Video & Photography, Crafts & Handicrafts, Music & Audio.
All content uploaded by the Creator under this Agreement into Yzzy platform must meet the following standards.
Technical requirements:
Photos: 1080×1920px minimum, JPEG/JPG/HEIF/PNG/WEBP format, max 30MB.
Videos: 1080×1920px minimum, AVI/MP4/3GP/MPEG/MOV, max 90 seconds, max 2.6GB.
The Creator must ensure they have all necessary rights to upload, edit, store, and share any content they submit to Yzzy. The Creator must either own the content or have explicit permission from the rightful owner to use it.
The Creator is responsible for all royalties, fees, and any other payments related to the use of third-party content. By uploading such content, the Creator confirms that all necessary permissions have been obtained from the respective rights holders.
If the uploaded content includes identifiable third parties (e.g., individuals in photos or videos), the Creator must obtain explicit consent from those individuals before publishing the content on Yzzy.
The Creator represents and warrants that:
a. The Creator is over the age of 18 or has reached the age of legal majority in their place of legal residence (if an individual) and otherwise has the full right, power, and authority to enter into these Yzzy Creator Accelerator Terms on their own behalf or on behalf of any entity they represent.
b. The Creator has read, understands, and agrees to follow the Yzzy Terms of Services and other applicable Policies.
c. The Creator will make any required payments to third parties associated with their content, and YZZY will not be responsible for any such payments.
d. The Creator’s participation in the Program does not and will not violate any contract or agreement they are bound by and will not infringe on any third-party rights.
The Creator agrees to keep strictly confidential any non-public information provided by Yzzy in connection with this Program, including but not limited to reporting metrics, program details, and communications. The Creator shall not publish, disclose, or share such information with any third party, except with legal or professional advisors who are bound by confidentiality obligations.
Yzzy may issue an official press release relating to the Program and the Creator’s participation, provided that any mention of the Creator will require the Creator’s prior written consent, which shall not be unreasonably withheld, conditioned, or delayed. The Company shall have non-exclusive rights to use the Creator’s content on the Yzzy platform for a period of one (1) year and retains the right to use the Creator’s content for marketing purposes for a period of three (3) years. The Creator agrees to post a Call-to-Action (CTA) on their external platform linking to their Yzzy Offer as part of their participation in the Program.
The parties acknowledge that their relationship is that of independent contractors and nothing contained in these Terms will be deemed to create or be construed as creating any partnership, joint venture, or employment relationship with Yzzy or any third party. For the avoidance of doubt, Creator agrees that Creator is not an employee of Yzzy and is not entitled to (and also hereby waives to the maximum extent allowed by law) any benefits provided or rights guaranteed by Yzzy, or by operation of law, to its respective employees, including but not limited to group insurance, liability insurance, disability insurance, vacation, leave, retirement plans, or unemployment insurance.
Yzzy may modify any of the terms and conditions contained in these Creator Fund Terms, at any time and in its sole discretion. Yzzy will endeavor to provide notice to Creator of any Program modifications; provided, however, that Yzzy is not responsible for Creator’s failure to receive notice of changes, and Creator agrees to review the Policies and any updated Creator Fund Terms to ensure that Creator is familiar with the most recent version of such Creator Fund Terms and Policies. Creator’s continued participation in the Program following the public posting of updated Creator Fund Terms to Creator shall constitute Creator’s acceptance of the updated Creator Fund Terms. If Creator does not agree to any updated Creator Fund Terms or Policies, Creator may terminate their participation in the Program at any time.
The failure of Yzzy to exercise any rights granted herein upon the occurrence of any of the contingencies set forth in these Creator Fund Terms shall not constitute a waiver of such rights. Creator may not assign, transfer, or delegate any rights or obligations contained in these Creator Fund Terms. Yzzy may assign these Creator Fund Terms at its option without prior notice to Creator.
